User Messaging
The Website
may contain messaging capability and message boards and other interactive
features (collectively, "Interactive
Services") that allow users (i.e. Employers) to
post, submit, publish, display, or transmit to other users (i.e. Employees) or
other persons (hereinafter, "post")
content or materials (collectively, "Employer
Messages") on or through the Website.
Subscriber’s
employees hereby consent to receive communication using Employer Messages as
determined by an employer under whose authority an employee accesses the
Interactive Services. All Employer
Messages must comply with the Content Standards set out in these Terms of Use. Data rates may apply for messages sent via
SMS. An employee may opt out of SMS
messages by contacting their Employer to mark their Employee
profile with “do not text”, which will prevent future messages from being sent
through SMS, and discuss an alternative method of communication. Alternatively, employees may reply STOP to
opt out of receiving SMS messages once received.
Monitoring and Enforcement; Termination
The Company has no ability to monitor any communications and messaging
that a subscriber and its employees send to its employees. User Messaging is a
function solely under a subscriber’s control. Accordingly, we assume no
liability for any action or inaction regarding transmissions, communications,
or content provided by any user or third party. We have no liability or
responsibility to anyone for performance or nonperformance of the activities
described in this section.
The Company has the right to
cooperate fully with any law enforcement authorities or court order requesting
or directing us to disclose the identity or other information of anyone posting
any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE
COMPANY FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY AS A
CONSEQUENCE OF INVESTIGATIONS BY EITHER THE COMPANY OR LAW ENFORCEMENT
AUTHORITIES.
These content
standards apply to any and all User Messaging and use of Interactive Services. User Messages
must in their entirety comply with all applicable federal, state, local, and
international laws and regulations and must be for the business purpose
permitted by the subscriber. Without limiting the foregoing, User Messages must
not:

abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise
objectionable.

discrimination based on race, sex, religion, nationality, disability, sexual

Infringe any patent, trademark, trade secret, copyright, or other
intellectual property or other rights of any other person.

Violate the legal rights (including the rights of publicity and
privacy) of others or contain any material that could give rise to any civil or
criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy
Policy.

Be likely to deceive any person.
·
Promote any illegal activity, or advocate, promote, or assist any
unlawful act.
·
Cause annoyance, inconvenience, or needless anxiety or be likely
to upset, embarrass, alarm, or annoy any other person.

Impersonate any person, or misrepresent your identity or
affiliation with any person or organization.
·
Involve commercial activities or sales, such as contests,
sweepstakes, and other sales promotions, barter, or advertising.

Give the impression that they emanate from or are endorsed by us
or any other person or entity, if this is not the case.
We

Information
About You and Your Visits to the Website
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE
COLLECTIVE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES AND AFFILIATES, AND
THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS,
TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR
OTHERWISE) EXCEED THE AMOUNT YOU HAVE PAID TO THE COMPANY FOR UNDER THE
SUBSCRIPTION AGREEMENT IN THE LAST 12 MONTHS OUT OF WHICH LIABILITY AROSE.
Governing Law and Jurisdiction
Limitation on Time to File Claims
The Terms of
Use, our Privacy Policy and the Subscription Agreements pursuant to which you have access
to the Website constitute the sole and entire agreement between you and the
Company regarding the Website and your use of the Website and supersede all
prior and contemporaneous understandings, agreements, representations, and
warranties, both written and oral, regarding the Website.
